How to write an NDA

  1. Choose the type — mutual, one-way, employee or with non-compete.
  2. Enter the parties and the purpose of sharing information.
  3. Set the confidentiality term.
  4. Print or “Save as PDF”, and have both parties sign.

Four NDA formats

  • Mutual — both parties share and protect information (e.g. exploring a partnership).
  • One-way — one party discloses; the other keeps it confidential.
  • Employee — a confidentiality agreement for a staff member or contractor.
  • With non-compete — a mutual NDA plus a non-compete / non-solicit clause.
